(a) "QE Tech" means QE Tech KK and its resellers, if any.
(b) "Software" means the QE Tech WritE-mail software program(s), data supplied by QE Tech herewith, corresponding documentation, associated media, printed materials, any online or electronic documentation, any and all copies and derivative works of such software and materials. |

(a) QE Tech hereby grants a non-exclusive, non-transferable license (the "License") to you to use the Software subject to the terms and conditions contained herein.
(b) The term of this license is perpetual, commencing upon acceptance of this EULA.
(c) You agree that QE Tech may audit your use of the Software for compliance with these terms at any time, upon reasonable notice.
(d) This License is an End User License Agreement, if you would like to enter into a Reseller Agreement, please go to: http://www.qetech.com/eng/resellers/. |

(a) This Agreement, the License, and the Software to which it applies, may not be assigned, sub licensed, or transferred by you to any other person or entity without prior written consent from QE Tech.
(b) You may not alter, merge, modify, adapt or translate the Software, or decompile, reverse engineer, disassemble, or otherwise reduce the Software to a human-perceivable form.
(c) You may not sell, rent, lease, or sublicense the Software.
(d) You may not modify the Software or create derivative works based upon the Software. |

Without prejudice to any other rights, QE Tech may terminate this EULA if you fail to comply with the terms and conditions of this EULA. In such event, you must destroy all copies of the Software. |

To the maximum extent permitted by applicable law, QE Tech and its resellers disclaim all warranties and conditions, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. |
|
|
|
|
|
|
|
To the maximum extent permitted by applicable law, in no event shall QE Tech or its resellers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss) arising out of the use of or inability to use the Software, even if QE Tech has been advised of the possibility of such damages. |

QE Tech's entire liability and your exclusive remedy under this EULA shall not exceed the TOTAL SERVICE FEE PAID BY YOU for the use of the Software. |

|
The foregoing license gives you limited license to use the Software. QE Tech retains ownership, and all rights, title and interest, including all copyright and intellectual property rights, in and to, the Software and all copies and derivatives thereof. All rights not specifically granted in this EULA, including Domestic and International Copyrights, are reserved by QE Tech. |

By agreeing to this EULA you are certifying that you are of an age to enter into such an agreement, that you understand and are capable of this agreement, and that this agreement will apply to you once agreed to. |
